Step-by-Step Guide to Registering a Company in India

Incorporating your business is the first step to securing institutional funding, establishing credibility, and protecting your personal assets through limited liability.

Step 1: Procuring Digital Signatures (DSC) & Director Identification Numbers (DIN)

Since company incorporation is completely digitized under the Ministry of Corporate Affairs (MCA), the proposed directors must obtain Class 3 Digital Signatures to sign the electronic documents.

A Director Identification Number (DIN) is automatically generated during the application process.

Step 2: Name Reservation (RUN Form)

Reserve a unique name for your company using the Reserve Unique Name (RUN) service. The name must reflect the primary business activity and end with "Private Limited", "LLP", or "OPC".

Ensure the name is not identical to existing trademarks or active companies.

Step 3: Filing SPICe+ Form for Incorporation

Filing the integrated SPICe+ form triggers multiple registrations simultaneously:

• Certificate of Incorporation (COI)

• PAN & TAN allotment

• EPFO & ESIC registration

• Professional Tax registration (where applicable)

• Bank Account opening authorization

Conclusion

Post-incorporation, companies must file auditor appointments (ADT-1) within 30 days and execute share certificates to ensure statutory compliance.
