Welcome to Curioup. These Terms of Service ("Terms") govern your access to and use of the website located at curioup.com (or curioup.in), our Client Portal, and any consulting, compliance, taxation, secretarial, or financial advisory services provided by Curioup Financial Services Pvt. Ltd. ("Curioup", "we", "our", or "us").
By accessing our website, registering on our Client Portal, or executing a service agreement with us, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. Scope of Services
Curioup provides professional corporate compliance and accounting services, including but not limited to:
- Goods and Services Tax (GST) registrations, reconciliations, and return filings.
- Income Tax returns (ITR), TDS compliance, and tax planning.
- Ministry of Corporate Affairs (MCA) and ROC compliance, company incorporations, and secretarial auditing.
- Bookkeeping, statutory auditing, and management reporting.
Specific deliverables, timelines, and professional fees for ongoing engagements will be detailed separately in a signed Letter of Engagement.
2. Client Responsibilities
To ensure accurate and timely compliance with statutory authorities, you agree to:
- Provide Accurate Information: Supply all bank statements, invoices, ledgers, and transaction proofs in a true, complete, and accurate manner.
- Meet Internal Deadlines: Submit required transaction records at least five (5) business days prior to the official government filing deadlines (such as GSTR-1, GSTR-3B, or TDS filings).
- Acknowledge Liability: Curioup is not responsible for penalties, interest, late fees, or legal actions initiated by government departments if they result from delayed, incomplete, or false documentation provided by you.
3. Client Portal Accounts
When you register an account on our Client Portal, you must:
- Maintain the confidentiality of your credentials (username, password, cryptographic keys).
- Be fully responsible for all uploads, queries, and activities occurring under your account.
- Notify us immediately at curioupconsul2023@gmail.com if you discover any security breach or unauthorized access to your account.
4. Payments, Billing, and Taxes
Fees for our compliance and advisory services are billed monthly, quarterly, or based on milestones as agreed in your Letter of Engagement.
- All invoices are payable within 7 days of receipt.
- Goods and Services Tax (GST) at the prevailing rate (currently 18%) will be added to our service fees.
- Late payments may result in the suspension of active filings and portals until outstanding bills are cleared.
5. Intellectual Property
The content, design systems, algorithms, source code, logo marks, tax calculator layouts, and custom portal features on our website are the exclusive property of Curioup. You may not copy, replicate, extract, or reverse-engineer our web modules without prior written authorization.
6. Limitation of Liability
To the maximum extent permitted by law, Curioup, its directors, partners, and associates shall not be liable for any indirect, incidental, special, exemplary, or consequential damages (including loss of profits, business interruptions, or data losses) arising out of your use of our website, portals, or filings.
Our total aggregate liability under any service contract is capped at the total fee paid to Curioup for that specific service during the preceding three (3) months.
7. Governing Law and Jurisdiction
These Terms, our Privacy Policy, and any engagement agreements shall be governed by and construed in accordance with the laws of India. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
8. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make updates, we will revise the "Last Updated" date at the top of this page. Your continued use of our website or portals after updates are posted constitutes your binding acceptance of the revised Terms.
